How do non-compete and confidentiality provisions differ, and why might a Pennsylvania business use both?
Non-compete provisions restrict certain competitive activity after the relationship ends, while confidentiality provisions focus on protecting trade secrets and proprietary information regardless of whether the person competes. In Pennsylvania, businesses often use both because confidentiality provisions are generally easier to enforce, while properly tailored non-competes can provide additional protection for customer relationships, key employees, and sensitive business strategies.
In Pennsylvania, non-competes mustbe supported by adequate consideration and must be reasonably limited in duration, geographic scope, and the activities restricted. They must also protect a legitimate business interest, such as trade secrets, confidential information, specialized training, or customer goodwill, and overbroad or punitive restrictions can be challenged as unenforceable.
Common issues include using boilerplate restrictions that are broader than necessary, vague definitions of “competition,” unrealistic geographic limits, and failure to tie restrictions to the employee’s actual role and access to confidential information. Problems also arise when the agreement is not supported by proper consideration at the time it is signed, which can become a major issue in Pennsylvania enforcement disputes.
